These Terms & Conditions of Sale ("Terms") apply to all quotations, orders, purchases, deliveries, and transactions conducted by Commercial Kitchen Supplies Ltd ("we", "us", "our"). By placing an order through our website, by email, by telephone, or by any other means, you agree to be bound by these Terms.
1. Definitions and Interpretation
In these Terms:
- Company, We, Us, Our means Commercial Kitchen Supplies Ltd.
- Customer, You, Your means the person, business, company, partnership, trust, or entity purchasing Goods from us.
- Goods means any products, equipment, accessories, spare parts, consumables, or services supplied by us.
- Order means any order placed by the Customer and accepted by us.
- Website means our online store and associated websites.
- Business Day means any day excluding weekends and public holidays in Victoria, Australia.
- Warranty Period means the warranty period specified on the relevant product page or documentation.
These Terms prevail over any terms proposed by the Customer unless agreed to in writing by us.
2. Orders and Acceptance
All Orders placed by Customers constitute an offer to purchase Goods from Commercial Kitchen Supplies Ltd.
Orders are only accepted once confirmation has been issued by us.
We reserve the right to:
- Refuse any Order.
- Limit quantities purchased.
- Cancel an Order before dispatch.
- Decline sales where pricing, stock, freight, or technical errors have occurred.
If an Order is cancelled after payment has been received, a refund will be issued using the original payment method.
3. Product Information
We make every effort to ensure product descriptions, specifications, dimensions, images, and pricing are accurate.
However:
- Images are provided for illustrative purposes only.
- Colours and finishes may vary.
- Manufacturers may alter specifications without notice.
- Dimensions may vary slightly between production runs.
Customers are responsible for confirming:
- Product suitability.
- Available installation space.
- Utility requirements.
- Compliance requirements.
- Access for delivery.
Commercial Kitchen Supplies Ltd accepts no responsibility for products that do not fit the intended application or installation area.
4. Pricing
All prices are displayed in Australian Dollars (AUD).
Unless otherwise stated, prices include GST.
Prices may be amended at any time before an Order is accepted.
Where a pricing error occurs, we reserve the right to cancel the Order and issue a full refund.
Freight, installation, commissioning, and additional services may be charged separately unless specifically stated otherwise.
5. Payment Terms
Payment must be received in full prior to dispatch unless approved credit arrangements exist.
We accept:
- Visa
- Mastercard
- PayPal
- Afterpay
- Zip
- Bank Transfer
- Other payment methods displayed at checkout
Orders will not be dispatched until payment has been successfully processed and verified.
Any costs incurred in recovering unpaid debts may be recovered from the Customer where permitted by law.
6. Shipping and Delivery
We deliver Australia-wide using a network of third-party freight carriers and logistics providers.
Delivery dates are estimates only and are not guaranteed.
Most products include free shipping within the Greater Melbourne area.
For deliveries outside Greater Melbourne, freight charges may apply based on:
- Delivery location
- Product dimensions
- Product weight
- Freight requirements
- Residential or commercial delivery address
Where freight charges apply, they will be displayed during checkout or quoted prior to dispatch.
7. Delivery Conditions
Unless otherwise stated:
- Deliveries are kerbside only.
- Drivers are not responsible for unpacking goods.
- Drivers are not responsible for positioning equipment.
- Drivers are not responsible for installation.
- Drivers are not responsible for removing packaging materials.
Customers are responsible for ensuring suitable access is available.
Additional freight charges may apply where:
- Access restrictions exist.
- Delivery details are incorrect.
- Special equipment is required.
- Delivery cannot be completed.
8. Authority to Leave (ATL)
Authority to Leave may be available on selected products and locations.
Customers must request ATL prior to dispatch.
Where ATL is approved:
- Goods may be left unattended.
- Responsibility for the Goods transfers upon delivery.
- Commercial Kitchen Supplies Ltd accepts no liability for loss, theft, weather damage, or other events occurring after delivery.
9. Heavy and Bulky Deliveries
Some products require assistance during unloading.
Customers may be required to provide:
- Suitable personnel.
- Appropriate unloading equipment.
- Forklifts or lifting equipment where necessary.
Tail-lift services may be available upon request and may incur additional charges.
10. Delivery Inspection
Customers must inspect all Goods immediately upon delivery.
Any:
- Transit damage
- Missing parts
- Incorrect items
- Freight shortages
must be reported within 24 hours by emailing sales@cksonline.com.au.
Photographs should be supplied wherever possible.
Failure to report issues within this timeframe may affect our ability to investigate freight claims.
11. Risk and Ownership
Risk in the Goods passes to the Customer upon delivery.
Ownership remains with Commercial Kitchen Supplies Ltd until all monies owing have been paid in full.
Until ownership transfers, the Customer must:
- Keep Goods in good condition.
- Maintain adequate insurance.
- Not sell or dispose of Goods without consent.
12. Installation Requirements
Customers are responsible for arranging installation.
Installation must be performed by appropriately licensed and qualified tradespersons where required by law.
Failure to comply with installation requirements may void warranty coverage.
13. Gas Appliance Requirements
All gas equipment must be installed by a licensed gas fitter.
Where requested, Customers must provide:
- Gas compliance certificates.
- Installation reports.
- Commissioning records.
Failure to provide these documents may result in warranty claims being declined.
14. Refrigeration Equipment Requirements
Commercial refrigeration equipment requires:
- Adequate ventilation.
- Appropriate ambient operating conditions.
- Routine cleaning and maintenance.
- Compliance with manufacturer recommendations.
Warranty claims may be declined where equipment has been:
- Installed incorrectly.
- Operated outside recommended conditions.
- Poorly maintained.
- Used contrary to manufacturer instructions.
15. Warranty
Warranty periods vary by product and are listed on individual product pages.
Warranty generally covers manufacturing defects in:
- Materials
- Components
- Workmanship
Warranty remedies may include:
- Repair
- Replacement parts
- Product replacement
- Refund where required by law
The remedy provided will be determined by Commercial Kitchen Supplies Ltd or the manufacturer.
16. Warranty Exclusions
Warranty does not cover:
- Incorrect installation
- Lack of maintenance
- Misuse
- Negligence
- Accidental damage
- Power surges
- Water damage
- Fair wear and tear
- Consumable components
- Unauthorised repairs
- Damage caused during relocation
Warranty claims may be rejected where the fault is not manufacturing related.
17. Warranty Claims Process
To submit a warranty claim, Customers may be required to provide:
- Order number
- Proof of purchase
- Product serial number
- Photographs
- Videos
- Technician reports
- Compliance certificates
Commercial Kitchen Supplies Ltd reserves the right to inspect products before approving warranty claims.
18. Returns and Change of Mind
Returns require prior approval.
Returned Goods must:
- Be unused.
- Be undamaged.
- Be in original packaging.
- Include all accessories and documentation.
Approved change-of-mind returns may incur:
- Restocking fees
- Freight charges
- Handling charges
19. Special Order and Custom Products
Special-order, made-to-order, customised, or non-standard products are generally non-refundable unless required by Australian Consumer Law.
20. Afterpay, Zip and Third-Party Finance
Where payment has been made using Afterpay, Zip, or similar providers, merchant processing fees may not be refundable where permitted by law.
Refunds will be processed in accordance with the provider's policies.
21. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any rights or remedies available under the Australian Consumer Law.
Where Goods fail to meet consumer guarantees, Customers may be entitled to repair, replacement, or refund in accordance with applicable legislation.
22. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for indirect or consequential loss.
- We are not liable for loss of profits, revenue, goodwill, or business interruption.
- Liability is limited to the value of the Goods supplied.
Nothing in these Terms limits rights that cannot legally be excluded.
23. Privacy and Marketing Communications
Personal information is handled in accordance with our Privacy Policy.
By placing an Order, Customers may receive communications relating to:
- Orders
- Deliveries
- Warranty claims
- Customer service
- Marketing communications
Customers may unsubscribe from marketing communications at any time.
24. Force Majeure
Commercial Kitchen Supplies Ltd is not liable for delays or failures caused by events beyond our reasonable control, including:
- Natural disasters
- Floods
- Fires
- Supplier shortages
- Transport disruptions
- Industrial disputes
- Government restrictions
- Power outages
25. Suspension and Termination
We may suspend or terminate supply where:
- Payment remains outstanding.
- Fraud is suspected.
- Incorrect information has been provided.
- The Customer breaches these Terms.
- Insolvency or bankruptcy events occur.
26. Governing Law
These Terms are governed by the laws of Victoria, Australia.
Any dispute arising from these Terms shall be subject to the jurisdiction of the courts of Victoria.
